CASABOT is seeking a General Counsel to serve as its first in-house legal leader. This strategic role sits at the intersection of technology, real estate, and AI, ensuring our corporate, contractual, and governance frameworks scale with our global ambitions.

Job Description

The General Counsel will act as a trusted advisor to the CEO, management team, and board, overseeing all legal matters spanning corporate, commercial, regulatory, and intellectual property.

Key Responsibilities

Manage corporate structuring across jurisdictions, including ADGM and DMCC.
Draft, review, and file Articles of Association, board resolutions, and shareholder agreements.
Ensure compliance with UAE free zone regulations, employment law, and company law requirements.
Lead negotiations of financing documents with investors, including SAFE, SSA, and equity deals.
Oversee cap table, ESOP implementation, and shareholder communications.
Support due diligence processes and protect CASABOT's interests in funding rounds.
Draft, review, and negotiate contracts with real estate developers, tech vendors, and distributors.
Establish standardized templates for NDAs, MSAs, licensing agreements, and pilot agreements.
Balance risk management with enabling rapid business growth.
Oversee IP assignment, licensing, and protection strategies to IP.
Manage trademarks, patents, and international filings as required.

Requirements

The ideal candidate will have

Bar admission in both English common law jurisdiction (UK, Australia, Canada, etc.) and UAE law; Swiss law is a plus.
8+ years PQE, with at least 3 years in-house experience (startup or tech sector preferred).
Strong expertise in corporate law, contracts, M&A/financing transactions, and UAE free zone regulations.
Experience advising on cross-border contracts, technology/IP law, and venture financing.
Proven ability to balance risk with entrepreneurial growth needs.
Excellent negotiation, drafting, and communication skills (English essential; Arabic a plus).
Hands-on, pragmatic, and able to thrive in a fast-paced startup environment.
